Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the website, products, and services provided by T2K Inc., doing business as Film Winners Vault ("FWV," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Who We Are & How to Contact Us

2) The Services

FWV is a discovery, directory, and promotional platform for filmmakers, cast/crew, and festivals. Features may include public profiles, listings, press releases, showcases, badges, rankings, and subscription plans. FWV is not a talent agency, distributor, broker, escrow, or legal advisor and does not guarantee revenue, licensing, distribution, financing, awards, or audience results.

3) Eligibility & Accounts

  • You must be at least 13 years old (or the age of digital consent in your jurisdiction). If you are under 18, you must have parental/guardian permission.

  • You agree to provide accurate account information and keep it current.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4) User‑Generated Content (UGC) & Ownership Requirements

You (and your licensors) retain ownership of content you upload, submit, or post (collectively, "UGC"). By submitting UGC, you represent, warrant, and covenant that:

  1. Ownership/Control: You own at least fifty‑one percent (51%) of the intellectual‑property rights in each submitted film, script, trailer, poster, still, press release, or other work (each, a "Work") or you possess written authorization from the majority rights holder(s), and in all cases you own or control all rights necessary to upload, display, publish, and license the Work to FWV as described in these Terms.

  2. Clearances: You have obtained all necessary releases, licenses, and permissions for cast/crew, locations, music, footage, images, trademarks, and any third‑party materials.

  3. No Infringement or Violations: Your UGC does not infringe any third‑party rights, violate any law or regulation, or breach any contractual obligations.

  4. At Your Own Risk: You understand and agree that you are solely responsible for your UGC and post it at your own risk. FWV does not pre‑screen all UGC and is not responsible for monitoring or resolving rights disputes among co‑owners or third parties.

License to FWV. You grant FWV a worldwide, non‑exclusive, royalty‑free, sublicensable and transferable license to host, reproduce, display, perform, transmit, adapt, reformat, excerpt, index, and distribute your UGC in connection with operating, improving, marketing, and promoting the Services, including public pages, emails, social posts, editorial spotlights, and search indexing. You may remove your UGC from your account; however, cached/archived copies and promotional materials already produced may persist for a reasonable period.

FWV may remove or disable access to any UGC at any time for any reason (including alleged infringement, safety, or policy violations) without liability or notice.

5) Acceptable Use

You agree not to:

  • Upload illegal, infringing, defamatory, pornographic, exploitative, hateful, harassing, or otherwise objectionable content;

  • Misrepresent your identity, your relationship to any project, or your rights in any Work;

  • Interfere with or disrupt the Services, bypass access controls, scrape, or use the Services for spamming or unsolicited advertising;

  • Attempt to reverse engineer, decompile, or derive source code;

  • Use the Services to collect others’ personal data without their consent or to stalk, dox, or harass;

  • Upload malware or engage in security abuses.

6) Payments, Plans, & Refunds

  • Subscriptions & Fees. Certain features require paid subscriptions or fees. Prices and features may change from time to time.

  • Billing. You authorize our payment processor(s) (e.g., Stripe/PayPal) to charge your selected payment method for all fees. We do not store full card numbers.

  • Renewals & Cancellation. Plans may auto‑renew unless cancelled before the next billing cycle in your account settings.

  • No Refunds. Except where required by law, all payments are non‑refundable and non‑transferable. We may, at our sole discretion, offer account credits for service issues.

7) Public Profiles, Rankings, & Badges

  • Profiles, wins, badges, and press posts you choose to make public may be indexed by search engines.

  • Any rankings, badges, labels (e.g., “Legacy,” “Winner,” “Official Selection”), and festival information provided by FWV are editorial opinions or user‑submitted data and may contain errors. They do not imply affiliation, endorsement, or verification by third parties or festivals.

  • FWV may modify or withdraw badges, rankings, or listings for quality, policy, or accuracy reasons.

8) IP Complaints (DMCA) & Takedowns

If you believe content on the Services infringes your copyright, submit a notice to filmwinnersvault@gmail.com with: (a) your contact info; (b) identification of the copyrighted work; (c) the URL(s) of allegedly infringing content; (d) a statement of good‑faith belief; (e) a statement under penalty of perjury that your notice is accurate and you are authorized; and (f) a physical or electronic signature. We may notify the user and, where appropriate, accept counter‑notices. FWV may remove content and terminate repeat infringers at its discretion.

9) Third‑Party Services

The Services may link to or integrate third‑party platforms (e.g., Vimeo, YouTube, payment processors, analytics). Your use of those services is governed by their terms and privacy policies. FWV is not responsible for such services.

10) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FWV AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND QUIET ENJOYMENT.

WITHOUT LIMITATION, FWV MAKES NO GUARANTEES ABOUT: (A) DISTRIBUTION, LICENSING, FINANCING, AWARDS, OR EMPLOYMENT; (B) USER CONDUCT OR UGC; (C) CONTINUOUS, ERROR‑FREE, OR SECURE OPERATION; OR (D) THE ACCURACY OR RELIABILITY OF ANY LISTINGS, RANKINGS, OR METRICS.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FWV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FWV’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

Some jurisdictions do not allow certain limitations; in such cases, the foregoing applies to the fullest extent permitted.

12) Indemnification

You will defend, indemnify, and hold harmless FWV and its affiliates, officers, directors, employees, and agents from and against any claims, demands, actions, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your UGC; (b) your breach of these Terms; (c) your violation of any third‑party rights (including IP, privacy, publicity, or contract); (d) disputes among co‑owners or contributors to a Work; or (e) your use of the Services.

13) Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including suspected violations of these Terms. You may stop using the Services at any time. Sections intended to survive termination will survive (including payment obligations accrued, disclaimers, limitations of liability, indemnities, and dispute resolution).

14) Dispute Resolution, Arbitration, & Class‑Action Waiver

Informal Resolution. Before filing a claim, you agree to email us at filmwinnersvault@gmail.com with a description of your claim and attempt good‑faith informal resolution for 30 days.

Binding Arbitration. Except for small‑claims matters, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under the Commercial Arbitration Rules and, where applicable, the Consumer Arbitration Rules. The seat of arbitration will be Los Angeles County, California. The language will be English. Judgment on the award may be entered in any court of competent jurisdiction.

Class‑Action Waiver. YOU AND FWV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its rights pending arbitration.

Time Limit to Bring Claims. ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE OR SUCH CLAIM IS PERMANENTLY BARRED.

15) Miscellaneous

  • Governing Law & Venue. These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law rules. Subject to the arbitration provision, exclusive venue lies in the state and federal courts located in Los Angeles County, California.

  • Entire Agreement. These Terms, along with any applicable policies (e.g., Privacy Policy), constitute the entire agreement between you and FWV.

  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.

  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • No Waiver. Our failure to enforce any provision is not a waiver.

  • Changes. We may update these Terms from time to time. Material changes will be posted to the Site and, where required, notified to you. Your continued use constitutes acceptance of changes.

16) “At Your Own Risk” Acknowledgement

You acknowledge and agree that: (a) you are solely responsible for your UGC and the outcomes of sharing it; (b) FWV does not control or guarantee interactions, offers, or outcomes resulting from exposure on the Services; and (c) any collaborations, deals, screenings, or transactions you pursue with third parties are entirely at your own risk.
